The United Nations Convention on Contracts for the International Sale of Goods does not apply to this Agreement. The Parties irrevocably consent to the personal jurisdiction of the state and federal courts located in Cheyenne, Wyoming for any suit or action arising from or related to this Agreement and waives any right to object to the venue of such courts. The Parties further agree that these courts will have exclusive jurisdiction over any such suit or action initiated by either party.
